Black Swan Graphene to Acquire Falpaco Rubber in New Deal
Colin Smith — April 4, 2026Black Swan Graphene has entered into a definitive agreement to acquire Falpaco Rubber and Plastics, a Quebec‑based injection moulding company, for approximately CAD 12.6 million. The transaction is structured on a cash‑free, debt‑free basis and remains subject to customary closing conditions and approval from the TSX Venture Exchange. The acquisition is positioned as a key step in Black Swan’s strategy to vertically integrate downstream manufacturing capabilities by combining its graphene materials and formulation expertise with Falpaco’s established moulding operations and customer base. Falpaco generates roughly CAD 7.4 million in annual sales and has recorded a compound annual growth rate of about seven percent over the past five years.
The integration is expected to shorten development cycles and support the transition from product validation to commercial adoption of graphene‑enhanced components. Falpaco’s portfolio aligns with polymers in which Black Swan’s graphene additives have demonstrated performance benefits, and the company frequently contributes to product design, material selection and performance optimization. This role provides a pathway for incorporating graphene into existing and future customer products. Upon closing, Falpaco will become a wholly owned subsidiary of Black Swan, with the combined platform intended to strengthen competitiveness in industrial markets that use rubber and plastic components.
