Equity-Backed Giving Vehicles
Anthropic is committing a portion of its shares to the Anthropic Public Benefit Fund, a new wholly owned entity whose stake grows as the company grows. Subject to stockholder approval, the company will commit 5% of its shares, with an additional 2% at the board's discretion for every 50% increase in company value above a baseline.
The fund is an LLC rather than a 501(c)(3), so it can shift between giving forms, such as nonprofit donations or direct distributions to specific populations. The fund will not use any of its equity for lobbying or political giving. Founder and employee pledges will dedicate roughly 20% of shares to the public good.
This structure shows how a growing company can direct escalating equity awards to public benefit rather than executives.
